Terms and Conditions

PROGRAM DESCRIPTION:  The iLending Pay It Forward Program (the “Program“) submission begins on February 1, 2022 and ends on November 18, 2022 at 11:59 p.m. CT (the “Submission Period”).

The Program provides iLending customers with the opportunity to nominate someone known to them (each, a “Nominee” and collectively, the “Nominees”) who they think deserves a new car.  At the conclusion of the Submission Period, representatives of Sponsor will review all nominees and select one (1) winner (as described below), subject to verification of eligibility and compliance with these official rules.

The Sponsor of the Program is Fleet Financial, Inc dba iLendingDIRECT, LLC, 7257 S Tucson Way, Englewood, CO  80112  (“Sponsor“). By participating in the Program, either as a Nominee or an entrant each participant unconditionally accepts and agrees to comply with and abide by these Terms and Conditions and the decisions of Sponsor, which shall be final and binding in all respects.

ELIGIBILITY:  Entrant and Nominee, must be a legal United States resident residing in the fifty (50) United States or the District of Columbia and twenty-one (21) years old or older at time of entry.  Employees, officers and directors of Sponsor, its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (collectively, the “Program Entities”) and the immediate family members, and/or those living in the same household of each, are ineligible to enter the Program or win a prize.  Program is void where prohibited by law.

HOW IT WORKS:  During the Submission Period, Sponsor loan consultants will ask eligible individuals if they would like to nominate someone for the Program.  If a customer has someone that they think deserves a new car, they can share their Nominee’s story with their loan consultant.  Nominee must be someone who is living who you know personally (e.g., a friend, family member or co-worker) and who you have permission to nominate for this Program.

WINNER SELECTION: Eligible entries will be judged by designated staff of Sponsor on the basis of the following criteria: (1) compelling nature of story (50%), (2) originality (25%), and (3) greatest need (25%).  Decisions of the judges are final as to all Program-related matters, including, without limitation, in case of a tie. The entries will be ranked based on judging criteria and the entry with the highest overall score will be declared the potential Grand Prize Winner (“Winner”). The Winner (the entrant or Nominee, as applicable) will be notified by email or phone on about November 23, 2022 that he or she has been selected for as a potential winner of the Grand Prize (“Grand Prize”). The potential Winner has twenty-four (24) hours to acknowledge the notification of Sponsor’s selection of his or her entry as the Winner. Upon satisfaction of all rules and conditions, the Winner may accept the Grand Prize.  Grand Prize will be awarded to the Entrant or Nominee who is the subject of the winning story.

In the event the Entrant and/or Nominee is deemed ineligible or fails to comply with Program procedures, then the first runner-up will be selected as a potential Winner, time permitting, or Sponsor reserves the right to terminate the Program at their discretion.

PRIZE AND APPROXIMATE RETAIL VALUE:

One (1) Grand Prize is available.  The Grand Prize consists of winner’s choice of a 2018-2022 Model Vehicle (the “Vehicle”) with an MSRP of up to $40,000.

Vehicle will be delivered with standard equipment for make and model; all upgrades and options, are at the sole cost of winner. Winner may not have choice of color. Should Vehicle selected by winner exceed $40,000, winner shall be responsible for the difference.  Should Vehicle selected be less than $40,000, winner will not receive difference in cash.  Title, taxes, registration, license, and similar fees, and insurance costs are the sole responsibility of the winner. Winner will be required to show proof of currently valid insurance prior to taking delivery of the vehicle.  Prize will be delivered to a dealership within close proximity to winner’s residence (as determined at the sole discretion of Sponsor) and if winner does not pick up prize within thirty (30) days of delivery notice, prize will be forfeited and may be awarded to an alternate winner. Vehicle will be delivered solely with the express limited warranties set forth in the vehicle’s Owner’s Guide.

All details of Grand Prize will be determined by Sponsor in its sole discretion. Sponsor reserves the right to substitute a similar prize (or prize element) of comparable or greater value. Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances. Prize cannot be transferred by winner or redeemed for cash and is valid only for the items detailed above, with no substitution of prize by winner.

GENERAL PRIZE CONDITIONS: Winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize.  Any potential prize winner must execute and have notarized an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or a shorter time if required by exigencies), winner may be disqualified and an alternate winner may be selected.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the Program.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

GENERAL:  Acceptance of a prize constitutes prize winner’s permission for Sponsor and its designees to use prize winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  Entrants agree that the Program Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Program or any Program-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor assumes no responsibility for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Program, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Program, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  Sponsor reserves the right to modify, extend, suspend, or terminate the Program if it determines, in its sole discretion, that the Program is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Program as contemplated herein. In the event Sponsor is prevented from awarding prizes or continuing with the Program as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Program.  If the Program is terminated before the designated end date, Sponsor will (if possible) select winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.  Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.  These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE PROGRAM SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF COLORADO WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

WINNER’S LIST:  Any legally required winner’s list may be obtained by sending a self-addressed, stamped envelope to: iLending Pay It Forward Program Winner, 7257 S. Tucson Way, Englewood, CO 80112.  All such requests must be received within six (6) weeks after the end of the Program Period.
